1. Acceptance of Terms

By accessing and using reelstudio.meydy.com or the Reel Studio WordPress plugin, you accept and agree to be bound by the terms and provisions of this agreement.

2. Use License

Permission is granted to temporarily download one copy of the materials on our sites for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify or copy the materials
  • Use the materials for any commercial purpose or public display
  • Attempt to decompile or reverse engineer any software on our sites
  • Remove any copyright or proprietary notations from the materials
  • Transfer the materials to another person or mirror them on any other server

3. Disclaimer of Warranties

The materials on our sites are provided on an ‘as is’ basis. We make no warranties, expressed or implied, and hereby disclaim all other warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. Limitations of Liability

In no event shall MEYDY or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages (including, without limitation, damages for loss of data, profit, business interruption, or reputational harm) arising out of the use or inability to use the plugin or services, even if MEYDY has been advised of the possibility of such damage.

To the maximum extent permitted by applicable law, MEYDY’s total aggregate liability for any claim arising out of or relating to these Terms or the plugin shall not exceed the greater of (a) the total fees you paid to MEYDY in the twelve (12) months preceding the claim, or (b) USD $20.

MEYDY is not liable for any claims, damages, or losses resulting from content uploaded, published, or distributed by site owners or their visitors using the Reel Studio plugin. Site owners bear sole and exclusive responsibility for ensuring all content complies with applicable laws, third-party licenses, and platform policies.

5. Accuracy of Materials

The materials on our sites could include technical, typographical, or photographic errors. We do not warrant that any materials are accurate, complete, or current. We may make changes to the materials at any time without notice.

6. User Content and Responsibility

Ownership: We claim no intellectual property rights over any content you upload or publish using the Reel Studio plugin (including audio files, images, metadata, titles, and descriptions). Your content remains yours. We do not acquire any license to use your content.

Your sole responsibility: You are solely and exclusively responsible for all content you upload, publish, or distribute through the plugin. By using the plugin, you represent and warrant that:

  • You own or hold all necessary licenses, rights, consents, and permissions for every audio file, image, sample, or other material you upload (including all third-party samples and licensed recordings).
  • Your content does not infringe any third-party copyright, trademark, privacy, or other intellectual property rights.
  • Your content complies with all applicable laws and regulations in your jurisdiction and those of your audience.
  • You have obtained all necessary clearances and model releases for any individuals featured in or identifiable from your content.

MEYDY does not pre-screen, monitor, or review content uploaded by plugin users and assumes no liability whatsoever for user-generated content. MEYDY reserves the right to remove any content that, in its sole discretion, violates these Terms or applicable law.

7. Links

We have not reviewed all sites linked to our website and are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement. Use of any linked website is at the user’s own risk.

8. Modifications

We may revise these Terms at any time without notice. By using this site, you agree to be bound by the then-current version of these Terms.

9. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-law provisions. You irrevocably submit to the exclusive jurisdiction of the competent courts located in Israel for any dispute arising out of or in connection with these Terms or your use of the plugin.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity shall not affect any other provision or any other jurisdiction, and the remaining provisions shall continue in full force and effect.

10. Pro License Terms

Pro licenses are managed via Freemius. By purchasing a Pro license, you agree to:

  • Annual or recurring billing as selected
  • Auto-renewal unless cancelled before renewal date
  • License tied to single site (Single Site), 3 sites (3 Sites), or up to 5 sites (Up to 5 Sites)
  • Cancellation can be done at any time via Freemius dashboard; downgrade to Free continues using Free features

11. Free Plugin Terms

The Reel Studio Free plugin is provided as-is without warranty. We may discontinue or modify Free features at any time. Use at your own risk, and maintain regular backups of your WordPress database and audio files.

12. Acceptable Use Policy

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe upon anyone’s intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Harass, defame, or abuse anyone
  • Spam or send unsolicited communications
  • Attempt to gain unauthorized access to our systems or other users’ data

13. Termination

We may terminate your access to our services at any time, without notice, if we believe you have violated these Terms or any applicable laws. Upon termination, your license to use the plugin ceases immediately.

14. Indemnification

You agree to defend, indemnify, and hold harmless MEYDY and its officers, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Reel Studio plugin or services;
  • Any content you upload, publish, or distribute through the plugin;
  • Your violation of any third-party intellectual property, privacy, or other rights;
  • Your violation of any applicable law or regulation;
  • Any claim by your site visitors or third parties related to content served through your installation of the plugin.

This indemnification obligation survives termination of your use of the plugin and applies regardless of whether MEYDY was negligent or at fault.
